Russian Appellate Court Reaffirms Due Process Rights for Foreign Shareholders in Bankruptcy Proceedings

In a significant victory for international corporate governance and procedural fairness, the Advocates Bureau YUG has successfully defended the interests of a major agricultural enterprise of the Stavropol Region before the Commercial Court of the North Caucasus District. The ruling addresses the critical issue of protecting the rights of a sole shareholder within the complex framework of Russian bankruptcy litigation.

The case centered on a long-standing procedural barrier: for an extended period, the sole shareholder of the debtor—a British-based foreign entity—was effectively barred from participating in the bankruptcy proceedings. The courts of first and appellate instances had failed to take the necessary steps and properly notify the foreign stakeholder. Legal experts noted that this exclusion appeared to ignore the fundamental principle of "equality of arms" among parties involved in a legal dispute.

However, the North Caucasus District Commercial Court ultimately sided with the arguments presented by Advocates Bureau YUG. The appellate court ruled that a foreign company acting as the sole shareholder of a Russian legal entity maintains the same right to judicial protection as creditors or the debtor itself. Crucially, the court held that geographical distance from the jurisdiction of the lower courts cannot serve as a justification for disregarding the fundamental principles of the Russian judicial system: equality before the law, the right to a fair hearing, and the prohibition against denying judicial protection.

The appellate ruling specifically prohibits the imposition of "negative consequences" on the foreign firm resulting from the lack of proper notification regarding the initiation of the case. Such failure to notify had previously stripped the British entity of its ability to file timely objections, a situation further exacerbated by an underlying corporate conflict.

The client was represented in these proceedings by lawyer Ekaterina Fedenko.
